1. Agreement to Terms

By accessing or using the Xylo API, website at xyloapi.dev, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

Xylo provides a simplified REST API that acts as an intermediary between your applications (including AI agents, SaaS tools, and custom software) and Meta's Marketing API. The Service enables you to:

  • Read and manage Meta advertising campaigns, ad sets, ads, and audiences through clean REST endpoints.
  • Retrieve advertising performance metrics and insights in a simplified format.
  • Connect Meta ad accounts via OAuth without directly implementing Meta's authentication flow.

Xylo is a proxy service. All advertising data originates from and is ultimately managed by Meta's platform. Xylo does not create, own, or independently store your advertising content or performance data beyond temporary caching for performance optimization.

3. Account Registration and API Keys

  • You must provide a valid email address to register for an API key.
  • Your API key is confidential. You are responsible for all activity that occurs under your API key.
  • You must notify us immediately at support@xyloapi.dev if you believe your API key has been compromised.
  • We reserve the right to revoke API keys that are used in violation of these Terms.
  • You may not share, sell, or transfer your API key to unauthorized parties.

4. Meta Platform Compliance

By using the Service, you acknowledge and agree that:

  • Your use of the Service is subject to Meta's Platform Terms and Developer Policies.
  • You must have proper authorization to access and manage the Meta ad accounts you connect through Xylo.
  • You are responsible for ensuring that your advertising campaigns comply with Meta's Advertising Policies.
  • Xylo is not affiliated with, endorsed by, or officially connected to Meta Platforms, Inc. "Meta," "Facebook," and "Instagram" are trademarks of Meta Platforms, Inc.
  • Meta may modify, suspend, or discontinue their APIs at any time, which may affect the availability of the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to circumvent rate limits, authentication, or other security measures.
  • Use the Service to access Meta ad accounts for which you do not have authorization.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to scrape, harvest, or collect advertising data for purposes other than managing your own campaigns.
  • Resell or redistribute access to the Service without our written consent.
  • Use the Service in a way that could damage, disable, or impair our infrastructure or Meta's infrastructure.
  • Use data obtained through the Service for retargeting, profiling, or building advertising audiences outside of Meta's platform.

6. Advertising and Financial Responsibility

You are solely responsible for all advertising spend and financial obligations incurred through campaigns created or modified via the Service.

  • Xylo facilitates API calls to Meta on your behalf but does not control or guarantee the outcome of advertising campaigns.
  • Budgets set through the Service are applied directly to your Meta ad account. Ensure all budget values are correct before confirming.
  • Xylo is not liable for any advertising costs, lost revenue, or business losses resulting from the use of the Service, including those caused by bugs, API errors, or service interruptions.
  • New campaigns created through Xylo default to a PAUSED status as a safety measure. You must explicitly activate campaigns.

7. Pricing and Payment

  • The Service is offered under usage-based pricing plans as described on our pricing page.
  • Free tier includes 500 API calls per month. Paid plans provide higher limits and additional features.
  • We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after pricing changes constitutes acceptance.
  • Overdue payments may result in suspension of API access.

8. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • The Service depends on Meta's Marketing API. Outages, deprecations, or changes to Meta's API may affect availability.
  • We may perform maintenance that temporarily affects service availability. We will endeavor to provide advance notice of planned maintenance.
  • Cached responses may be served during periods of Meta API unavailability.

9. Intellectual Property

  • The Service, including its API design, documentation, and translation layer, is owned by Xylo and protected by intellectual property laws.
  • Your advertising data and creative content remain your property. You grant us a limited license to process this data solely to provide the Service.
  • You may not use Xylo's name, logo, or branding without our prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XYLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, ADVERTISING SPEND, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless Xylo from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including Meta's policies.

12. Termination

  • You may stop using the Service at any time by ceasing API calls and requesting account deletion.
  • We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees.
  • Upon termination, we will delete your API keys, revoke connected account tokens, and purge cached data within 30 days.
  • Sections 6 (Financial Responsibility), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
